HOUSTON--(BUSINESS WIRE)--Dec. 7, 2007--Helix Energy Solutions (NYSE:HLX) today announced that, subject to market conditions, it plans to offer $500 million of senior unsecured notes through a private placement. Certain of the Company's domestic subsidiaries will fully and unconditionally guarantee the notes. The Company intends to use the net proceeds of the proposed offering to repay outstanding indebtedness under its senior secured credit facilities.
Neither the notes nor the guarantees have been registered under the Securities Act of 1933 or applicable state securities laws and may not be offered or sold in the United States absent registration or an applicable exemption from the registration requirements of the Securities Act and applicable state laws. The Company plans to offer and issue the notes and guarantees only to qualified institutional buyers pursuant to Rule 144A under the Securities Act and to persons outside the United States pursuant to Regulation S of the Securities Act.
